Quad Graphics the US based commercial Printing Company is purchasing World Color Press in Montreal Canada broaden their clientage in the neighboring countries. Quad Graphics is the largest private company in printing business. World Color is a century old printing company that prints Reader’s digest, Rolling Stone, US Weekly and many other magazines. The deal is expected to be finalized by summer of 2010. The actual amount of the deal is not yet revealed by either of the companies but it is guessed to be around $1.35 billion.
The acquisition of World color will make Quad Graphics the 2nd largest Commercial Printing Company and will enhance its production range. After the commencement of the deal Quad Graphic is going to become a public company.
The joint shares of World color and Quad Graphics will be shared by a ratio of 40 to 60 among the respective share holders of the companies.
It is expected that the joint company with a work force of 30,000 will be able to earn more than 5 billion annually. The Company also hopes to raise $225 million in the shape of annualized savings in 24 months. The company has arranged $1.2 billions for the deal from US bank and JP Morgan Chase.
The deal also envisages the conversion of each World color share into Quad Graphics share through a procedure. The World Color shares have gone up after the news of the deal.
The Quad Graphics is owned by the Quadracci family that migrated to US from Italy in 1906.
